CLUTCH GENERAL TERMS AND CONDITIONS

1. GENERAL

1.1 These general terms and conditions (“General Terms”) govern the contractual relationship between Clutch ApS, CVR number [42195030] (“Clutch”, “we”, “our”), and the customer (“you”, “your”) of the subscription services, which allow for: (i) recording, viewing, and distribution of audio-visual content recorded on a Clutch camera or through separate recording devices via the Clutch app (together, “Content”) by way of either live (simultaneous or nearly simultaneous) streaming and/or subsequent on-demand download or streaming through the Clutch website or applications (together, the “Clutch Platforms”); and/or (ii) analysis (including through use of our AI plug-in) and editing tools; and/or (iii) associated services made available by Clutch from time to time; and/or (iv) Content distributed through or interacting with various partner applications via Clutch’s application programming interface (“Clutch API”) (collectively, the “Services”).

1.2 Your purchase of a Clutch camera or any other physical Clutch product is regulated by the Clutch Product Terms and Conditions (the “Product Terms”).

1.3 You may invite and allow users who have created a user account (together “Users”) to use all or part of the Services, including but not limited to a “viewer access right”, an “administration access right” or “player access right”. Depending on their role and permissions, a User may invite new Users. All such Users are considered your Users.

1.4 The use of the Services is regulated separately by the Clutch User Terms. Any User invited by you must accept the User Terms to use the Services. Clutch may exclude a User from using the Services as set out in the User Terms. Your use of the Services is also subject to your compliance with the User Terms.

1.5 You are subject to Clutch’s policies and terms made available on the Clutch Platforms, as amended from time to time, including Clutch’s Privacy Policy and, if applicable, Data Processing Agreement. All such policies are incorporated by reference into these General Terms.


2. YOUR RESPONSIBILITIES

2.1 You are solely responsible and liable for your and your Users’ compliance with the User Terms. You must notify Clutch immediately of any breach of security or unauthorized use of the Services by a User that you become aware of.

2.2 Users must be at least thirteen (13) years of age before registering for a user account.

2.3 You must not publish Content protected by copyright (e.g., music, footage, or other protected works) without the necessary authorizations.

2.4 You must be of legal age in your jurisdiction to enter into and perform legal agreements on your own behalf or on behalf of the entity you represent. If you are under 13, you may not enter into these General Terms.


3. SERVICE DELIVERY

3.1 The Services are further described on clutchapp.io.

3.2 The Clutch Platforms and Services are provided “as is” without warranty of any kind. Clutch makes no guarantees regarding uptime, quality, or accuracy of the Services, and disclaims all warranties and liabilities to the maximum extent permitted by law, including any reliance on analysis, conclusions, or suggestions obtained via the Services.

3.3 Clutch may suspend, discontinue, or modify any aspect of the Services at any time, including discontinuing display of Content or limiting access geographically.

3.4 Clutch may provide advertisements for Clutch products or services or for third-party products or services on the Clutch Platforms.

3.5 You accept that Clutch may delete Content or place it into cold storage (no immediate access) without prior notice.


4. SUBSCRIPTION FOR A CUSTOMER ACCOUNT

4.1 To access, edit, and publish Content from a Clutch camera or compatible device, and invite Users to use the Services, you must subscribe for an account on the Clutch Platforms (“Customer Account”) and select a subscription period (“Subscription Period”).

4.2 The Customer Account is personal to you, and you are responsible for all activity under it. Notify Clutch immediately of any unauthorized use.

4.3 Keep your Customer Account password secure and confidential at all times.


5. SUBSCRIPTION FEE AND PAYMENT

5.1 The subscription fee for your Customer Account is non-refundable, except as otherwise provided by law.

5.2 You must provide valid payment details. Failure to maintain payment information may result in suspension of your account and access to Content.

5.3 Subscriptions renew automatically unless terminated before the end of the Subscription Period.

5.4 If your subscription lapses, your access to Content may be restricted or removed, depending on your subscription type.


6. INTELLECTUAL PROPERTY RIGHTS

6.1 Except for Content, all materials on the Clutch Platforms (including text, graphics, logos, videos, software, and overall look and feel) are the intellectual property of Clutch or its licensors.


7. USE OF EXTERNAL MEDIA PLATFORMS

7.1 If you publish Content from the Clutch Platform to third-party platforms (e.g., YouTube), you are subject to their terms of use and are responsible for any liability arising from such publication.


8. PROCESSING OF PERSONAL DATA AND DATA PROTECTION

8.1 For Content uploaded, published, distributed, livestreamed, or otherwise processed by you or your Users on the Services, you act as data controller. Clutch acts as data processor for such activities, under Clutch’s Data Processing Agreement.

8.2 Clutch is data controller for: (a) metadata (e.g., user profiles, match statistics); (b) public content used for marketing; (c) any processing described in our Privacy Policy.

8.3 By using the Clutch app, you consent to Clutch using any Content you mark as public for marketing and promotional purposes, including on our website, social media, and advertising.


9. TERMINATION AND CLOSING OF CUSTOMER ACCOUNT

9.1 You may terminate your subscription by giving one month’s notice before the end of a Subscription Period. Prepaid fees are non-refundable.

9.2 Clutch may terminate your Customer Account with one month’s notice or immediately in case of material breach.


10. RETURNS & WARRANTY

10.1 You may return a Clutch camera within thirty (30) days of receipt, in new condition, at your cost (including shipping and customs), for a refund of the purchase price.

10.2 Clutch provides a 12-month warranty covering manufacturing defects under normal use. This does not cover accidental damage, misuse, or modifications.

10.3 Defective products will be repaired or replaced at Clutch’s discretion. This is your sole remedy.


11. LIMITATION OF LIABILITY

11.1 Clutch is not liable for indirect or consequential damages, including lost profits or data.

11.2 Clutch’s total liability is limited to the amount you paid to Clutch in the 12 months prior to the claim (excluding hardware purchase price).


12. INDEMNIFICATION

12.1 You agree to indemnify Clutch from any third-party claims arising from your violation of these Terms or applicable law.


13. CHANGES

13.1 Clutch may amend these Terms by posting the updated version on the Clutch Platforms. Continued use of the Services constitutes acceptance.


14. GOVERNING LAW & DISPUTES

14.1 These Terms are governed by Danish law. Any disputes shall be settled exclusively by the courts in Copenhagen, Denmark.
